Terms of Service

These Terms of Service (“Terms”) govern access to and use of Remind, including the Remind application for Microsoft Teams, websites, administration interface, documentation and related services (the “Service”). The Service is provided by Moonbear Ventures LLC (“Moonbear”, “we”, “us”).
By installing, accessing, purchasing or using the Service, you agree to these Terms. If you use the Service for an organization, you represent that you have authority to bind that organization, and “you” includes that organization. If you do not agree, do not use the Service.
1. The Service
Remind enables users to create, manage and deliver scheduled reminders through Microsoft Teams. Features may vary by plan, device, Teams client and customer configuration.
Remind is an independent service. It is not provided, sponsored or endorsed by Microsoft. Microsoft Teams, Microsoft 365, Microsoft Entra ID and other Microsoft services are governed by the customer’s agreements with Microsoft.
2. Eligibility and organizational administration
You must be legally capable of entering these Terms. If you use Remind through an employer, school or other organization, the organization may administer the app, assign licenses, configure access and access or delete organization-visible reminders as described in the Service and Privacy Policy.
You are responsible for ensuring that your users are authorized to use Remind and receive appropriate privacy and workplace notices.
3. Accounts and security
Access may depend on a valid Microsoft identity and the continued availability of Microsoft Teams or related Microsoft services. You must protect credentials and devices, use reasonable security measures, and promptly report suspected unauthorized use to security@teamsreminder.app.
You are responsible for activity performed through your account or tenant, except to the extent caused by Moonbear’s breach of these Terms.
4. Customer Content
“Customer Content” means reminder text, schedules, Microsoft Teams identifiers and other information submitted to or processed by Remind for you.
As between you and Moonbear, you retain all rights in Customer Content. You grant Moonbear a limited, non-exclusive right to host, copy, transmit and otherwise process Customer Content solely to provide, secure, support and maintain the Service and as required by law.
You represent that you have all rights and lawful bases needed to submit Customer Content and instruct Moonbear to process it.
Do not include passwords, authentication secrets, full payment-card data, patient records, protected health information, government identifiers or other highly sensitive information in reminder text unless Moonbear has expressly agreed in writing to support that category of data and all required safeguards are in place. Remind is not a system of record for medical, financial or emergency-response information.
5. Acceptable use
You must not:
- use the Service unlawfully or infringe another person’s rights;
- send spam, harassment, threats, deceptive content or malicious code;
- disclose personal or confidential information to a Teams audience that is not authorized to receive it;
- attempt to bypass access controls, rate limits or security protections;
- probe or test vulnerabilities without prior written authorization;
- interfere with the Service or another customer’s use;
- reverse engineer the Service except where applicable law expressly permits it; or
- use the Service for safety-critical, emergency, life-support or other activity where a delayed or missed reminder could cause death, injury or material damage.
6. Plans, trials, billing and taxes
Current plan features and direct-purchase prices are displayed at https://teamsreminder.app/pricing. A paid subscription may be purchased in either of the following ways:
- Direct subscription. The customer subscribes through Remind and Stripe processes the checkout, payment, invoices and related billing information.
- Microsoft marketplace subscription. The customer or an authorized organization administrator subscribes through Microsoft Teams, AppSource or Azure Marketplace. Microsoft processes the purchase and billing under the purchaser’s applicable agreement with Microsoft, while Moonbear receives the subscription information needed to provision Remind.
The price, billing interval and applicable purchase channel are displayed before the order is completed. Marketplace prices, taxes, invoicing and payment processing may also be subject to Microsoft’s applicable commercial marketplace terms.
Subscriptions renew for the billing interval selected at purchase unless cancelled before renewal.
Cancellation depends on the purchase channel:
- A direct subscription can be cancelled by the customer’s billing administrator through the direct subscription-management interface.
- For a subscription purchased through Microsoft Teams, AppSource or Azure Marketplace, an authorized organization administrator can start the cancellation process from Remind’s landing page. The Microsoft marketplace subscription and billing record are then handled through the applicable Microsoft purchase flow.
Cancellation stops the next renewal and takes effect at the end of the current billing period. Except where required by law or expressly stated at purchase, direct-subscription fees are non-refundable. Refunds for Microsoft marketplace purchases are also subject to the applicable Microsoft terms and marketplace process.
Prices exclude taxes unless stated otherwise. You are responsible for applicable taxes other than taxes based on Moonbear’s income.
Trials may be changed or discontinued and may convert to a paid subscription only as clearly disclosed and authorized during signup.
7. Privacy and data processing
Our Privacy Policy at https://teamsreminder.app/privacy explains how Moonbear processes personal data as a controller. When Moonbear processes Customer Content on behalf of an organization, the Data Processing Addendum at https://teamsreminder.app/dpa applies and is incorporated into these Terms.

8. Service operation and changes
We work to keep Remind available and reminders timely, but do not guarantee uninterrupted operation or delivery at an exact time. Delivery can be affected by Microsoft Teams, customer configuration, network conditions, rate limits, maintenance and events outside our reasonable control.
We may modify the Service to improve security, comply with law, respond to Microsoft platform changes or add or remove features. We will provide reasonable notice of a material reduction in paid functionality when practicable.
9. Suspension
We may suspend access when reasonably necessary to address a security risk, unlawful use, material breach, nonpayment or a threat to the Service or others. Where practicable, we will provide notice and an opportunity to cure.
10. Intellectual property
The Service, documentation, designs and software are owned by Moonbear or its licensors and are protected by intellectual-property laws. Except for the limited right to use the Service under these Terms, no rights are transferred to you.
If you provide feedback, you permit Moonbear to use it without restriction or obligation, provided we do not identify you publicly without permission.
11. Confidentiality
Each party will protect the other party’s non-public information using reasonable care and use it only to perform or receive the Service. Confidential information does not include information that is public without breach, already lawfully known, independently developed or lawfully received without confidentiality restrictions.
A party may disclose confidential information when legally required after giving notice where legally permitted.
12. Disclaimers
TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE.” MOONBEAR DISCLAIMS IMPLIED WARRANTIES, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT AND WARRANTIES ARISING FROM COURSE OF DEALING.
Nothing in these Terms limits rights or warranties that cannot legally be excluded.
13. Limitation of liability
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, MOONBEAR VENTURES LLC, ITS AFFILIATES, AND THEIR RESPECTIVE OWNERS, OFFICERS, CONTRACTORS AND SERVICE PROVIDERS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, REVENUE, BUSINESS OPPORTUNITY, GOODWILL OR DATA, ARISING OUT OF OR RELATING TO THE SERVICE OR THESE TERMS, EVEN IF ADVISED THAT SUCH DAMAGES WERE POSSIBLE.
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, MOONBEAR’S TOTAL AGGREGATE LIABILITY ARISING OUT OF OR RELATING TO THE SERVICE OR THESE TERMS WILL NOT EXCEED THE GREATER OF:
the fees paid or payable for Remind during the 12 months immediately preceding the first event giving rise to the claim, whether paid directly or through Microsoft’s commercial marketplace; or
US $100 if no fees were paid or payable during that period.
These exclusions and limitations apply regardless of the form or legal basis of the claim, including contract, tort, ordinary negligence, strict liability or otherwise, and apply collectively to all related claims.
Nothing in these Terms excludes or limits liability for fraud, gross negligence, intentional misconduct, willful or wanton misconduct, reckless conduct, or any other liability that cannot lawfully be excluded or limited.
Some jurisdictions do not permit certain warranty disclaimers or limitations of liability. In those jurisdictions, these limitations apply only to the maximum extent permitted by applicable law.
The parties acknowledge that these limitations allocate risk between them and form an essential basis of the agreement.
14. Termination and data return
You may stop using the Service at any time and may cancel a paid subscription as described above. Either party may terminate for a material breach that remains uncured 30 days after written notice, or immediately where cure is impossible.
After termination, access ends and Customer Content is deleted or returned as described in the Data Processing Addendum, Privacy Policy and Data Deletion page, subject to legal retention and backup rotation.
15. Governing law and disputes
These Terms are governed by the laws of Wyoming, without regard to conflict-of-law rules. Subject to any mandatory rights under applicable law, disputes must be brought in the state or federal courts located in Laramie County, Wyoming, and each party consents to their jurisdiction.
16. Changes to these Terms
We may update these Terms. We will post the revised version and update the effective date. For material changes affecting paid customers, we will provide reasonable advance notice through the Service or account contact. Continued use after the effective date constitutes acceptance where permitted by law.
17. General
Neither party may assign these Terms without the other’s consent, except in connection with a merger, reorganization or sale of substantially all relevant assets. If any provision is unenforceable, the remainder remains effective. Failure to enforce a provision is not a waiver. These Terms, referenced policies and any order form are the entire agreement concerning the Service; an executed order form controls over conflicting online terms.
